These Terms govern your access to and use of Nafric Connect and www.nafrictrade.com, operated by Nafric Intertrade Limited. By creating an account or using the platform, you agree to these Terms. If you do not agree, please do not use the platform.
1. Who may use the platform
You must be at least 18 years old and able to enter a binding contract. If you register on behalf of a company, you confirm you are authorised to bind that company, and "you" includes that company.
2. Accounts and security
- Provide accurate, current and complete information, and keep it updated.
- Verify your email address to activate your account.
- Keep your password confidential; you are responsible for activity under your account.
- Notify us immediately of any unauthorised use or security breach.
- Do not share, sell or transfer your account, or create accounts on behalf of others without authority.
3. Service requests
- Submitting a request is a request for service; it is not accepted until Nafric approves and activates it.
- You must provide safe, lawful and accurate site information and grant reasonable access for technicians.
- Timelines, schedules and quotations shared in the app are estimates unless confirmed in writing.
- Nafric may decline, reschedule or cancel a request where it is unsafe, unlawful, outside our service scope, or where required information is not provided.
4. Technicians — independent contractor status
Technicians and other service personnel engaged through the platform are independent service providers working for their own account. They are not employees, agents, partners or joint venturers of Nafric Intertrade Limited, and nothing in these Terms creates an employment, agency or partnership relationship.
- Technicians control their own working methods, tools and hours, and may accept or decline services offered through the platform.
- Technicians are solely responsible for their own taxes, statutory contributions, permits, trade licences, insurance and tools; Nafric does not deduct PAYE, pension or any employment-related contribution on their behalf.
- Technicians receive no salary, leave, pension, severance or other employment benefit from Nafric, and no right to such benefits arises from use of the platform.
- Technicians may not hold themselves out as employees or representatives of Nafric, or enter into commitments in Nafric's name.
- Technicians must supply truthful qualifications, certifications and contact details, follow Nafric's safety and quality standards, keep customer information confidential, post accurate service updates and submit reports honestly.
- Technicians indemnify Nafric against claims, losses and liabilities arising from their own negligence, misconduct, misrepresentation, or failure to meet their tax, licensing or insurance obligations.
Nafric coordinates, quality-assures and administers work booked through the platform, and may suspend or remove technician accounts for misconduct, misrepresentation or safety breaches. Exercising these quality and safety controls does not convert an independent contractor into an employee. Technicians are additionally bound by our Independent Contractor Terms, which prevail on technician-specific matters.
5. Fees and payment
- Nafric Intertrade Limited acts as principal for all services arranged through the platform. When a customer accepts a quotation in the app, that acceptance forms a binding service contract with Nafric Intertrade Limited for the described work, at the quoted price (including applicable VAT).
- Quotations, variations, material charges, scheduling and invoices for introduced work are all issued and accepted through the platform. Material charges for maintenance spares are quoted separately and must be accepted by the customer before the service is scheduled.
- The initial invoice issued on service completion covers the site visit and any inspection required. Supplementary invoices may be issued for approved materials and additional work.
- All payments must be made to the Nafric Intertrade Limited bank account shown on a Nafric invoice. The platform does not offer card, wallet or other electronic payment processing and does not hold customer funds; it records invoices and customer payment confirmations only.
- Technicians must not request or accept cash or direct transfers from customers for introduced work. Payments to technicians for their services are settled between Nafric Intertrade Limited and the technician under their separate arrangement.
6. Acceptable use
You agree not to misuse the platform. See our Acceptable Use Policy, which forms part of these Terms.
7. Content and intellectual property
Nafric owns the platform, its software, branding and design. You retain ownership of the content you upload, and you grant Nafric a licence to host, process and share that content as needed to deliver the services. You confirm you have the right to upload any content you submit.
8. Availability
We aim for high availability but do not guarantee uninterrupted access. We may suspend the platform for maintenance, upgrades or security. Features may change over time.
9. Liability
To the fullest extent permitted by law, Nafric is not liable for indirect, incidental or consequential loss, loss of profit, revenue or data arising from use of the platform. Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any liability that cannot lawfully be excluded. Liability for the underlying physical services is governed by the applicable service contract.
10. Suspension and termination
We may suspend or terminate accounts that breach these Terms, present a security or safety risk, or are used unlawfully. You may close your account at any time by contacting us; certain records will be retained as described in the Privacy Policy.
11. Privacy
Your use of the platform is also governed by our Privacy Policy.
11a. Non-circumvention and on-platform dealing
Technicians and other service personnel are introduced to customers solely through Nafric Intertrade Limited. For twelve (12) months from the date of any introduction made through the platform, customers agree not to engage, and technicians agree not to accept, any work from that counterparty outside the platform — whether directly, through a related person, or through another company — without Nafric's prior written consent.
All quotations, scheduling, variations, material approvals and payments for introduced work must be arranged through the platform, and customers accept quotations and pay invoices through the platform as set out in Section 5. Payments must be made only to the Nafric Intertrade Limited bank account shown on a Nafric invoice; technicians must not request or accept cash or direct transfers from customers.
Communication about a service should take place in the in-app service message thread. Messages sent through the platform are recorded and may be reviewed for quality, safety, dispute resolution and compliance with this clause.
Warranty, insurance cover, dispute resolution, vetting and technician accountability apply only to work booked and paid for through the platform. Work arranged off-platform is entirely at the parties' own risk.
Breach of this clause may result in suspension or removal from the platform, loss of warranty cover, and a recovery charge equal to the platform fees that would have been payable on the diverted work, in addition to any other remedy available in law.
12. Governing law
These Terms are governed by the laws of the Federal Republic of Nigeria, and the courts of Lagos State have jurisdiction over any dispute, without prejudice to any arbitration clause in a separate service contract.
13. Changes
We may update these Terms. Continued use of the platform after changes take effect constitutes acceptance of the updated Terms.
